1. Introduction

Welcome to ESP Point (“we”, “us”, “our”). By accessing or using our website, mobile app, or any related services (“Platform”), you agree to be bound by these Terms & Conditions (“Terms”).

If you do not agree, please discontinue using the Platform immediately. These Terms form a legally binding agreement between: ESP Point (the Service Provider) and You (the User, Client, Taxpayer or Professional).

2. Definitions

  • Platform: ESP Point website, mobile application, software, and tools.
  • User/You: Any person using the Platform, including taxpayers, clients, professionals or visitors.
  • Services: Tax filing, GST filing, accounting, compliance, advisory, notice handling, and related services.
  • Documents: Any files, Form 16/26AS, AIS, TIS, photos, PDFs or data uploaded by the User.
  • Third Parties: Govt bodies, ERI partners, payment gateways, verification agencies and cloud providers.

3. Eligibility

To use the Platform, you confirm that:

  • You are 18 years or older,
  • You are legally competent to enter into a contract under Indian law,
  • You are authorized to share the information and documents uploaded by you.

4. Services Provided

ESP Point provides:

  • Income Tax Return filing
  • GST filing & compliance
  • Accounting & bookkeeping
  • Tax planning & advisory
  • Tax notice reply & scrutiny handling
  • Business registrations & compliance services
  • Document preparation and submission support

The scope, deliverables and fees for each service may vary and will be communicated to you before engagement.

5. User Responsibilities

By using the Platform, you agree that you will:

  • Provide accurate, complete and updated information
  • Upload only authentic documents
  • Not impersonate any person
  • Not use the Platform for illegal, fraudulent or unauthorized purposes
  • Maintain confidentiality of your login credentials
  • Cooperate with the team during filing or compliance work

You are solely responsible for the correctness of information submitted.

6. Accuracy of Information & Disclaimer

ESP Point relies on the information you provide. We will not be responsible for:

  • Incorrect details or documents provided by you
  • Misstatements or defects arising from wrong user input
  • Government portal outages, delays or errors
  • Loss arising due to late or incomplete submission of documents
  • Penalties, notices or tax demands resulting from incorrect user data

We do not guarantee acceptance of filings by government portals.

7. Fees, Payments & Refunds

  • Service fees are specified before initiating work.
  • Payments must be made through approved payment methods.
  • Fees once paid are non-refundable, except where legally required.
  • For subscription-based services, renewal charges apply unless cancelled before renewal date.
  • Government taxes or penalties are not included in service fees.

8. Delivery Timelines

Delivery depends on:

  • Accuracy of user information
  • Document availability
  • Government portal performance
  • Public holidays or system downtime

Delays caused by external systems (Income Tax Portal, GST Portal, Banks, NSDL, etc.) are beyond our control.

9. Third-Party Services

ESP Point may use third-party providers for:

  • Document verification
  • KYC services
  • ERI / tax filing utilities
  • Payment gateways
  • Cloud hosting
  • SMS/e-mail communication

We are not responsible for failures or errors of third-party systems. Your use of their services is governed by their respective terms.

10. Confidentiality & Data Protection

All user data and documents are handled under strict confidentiality.
We follow the highest standards of data security as stated in our Privacy Policy.

You agree not to misuse or share any confidential information received through our Platform.

11. Intellectual Property Rights

All software, logos, content, text, graphics, and branding on the Platform belong to ESP Point.

You may not:

  • Copy, reproduce or distribute our content
  • Reverse engineer our software
  • Use our brand name without permission

Violation may result in legal action.

12. Restrictions on Use

Users must NOT:

  • Upload viruses, harmful code, or malware
  • Attempt unauthorized access to the Platform
  • Use automated tools or bots
  • Attempt to disrupt Platform functionality

Violation may result in suspension or permanent account blocking.

13. Limitation of Liability

ESP Point is not liable for:

  • Errors caused by incorrect user information
  • Loss of data due to technical issues beyond our control
  • Penalties or tax demands issued by government authorities
  • Downtime, delays or failures of government portals
  • Any indirect, incidental or consequential damages

Our total liability shall not exceed the amount paid by the user for the specific service.

14. Indemnification

You agree to indemnify and hold ESP Point harmless against any losses, claims, damages, penalties or liabilities arising from:

  • Incorrect information submitted by you
  • Misuse of the Platform
  • Violation of these Terms
  • Uploading unauthorized or illegal content

15. Account Termination

We may suspend or terminate your account if you:

  • Violate the Terms
  • Provide false information
  • Misuse the Platform
  • Engage in fraud, abuse or harassment

You may also deactivate your account at any time.

16. Policy Changes

We may update these Terms periodically.
Updated Terms will be posted on the Platform with a new “Last Updated” date.
Continued use indicates acceptance of updated Terms.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of Jaipur.
Any disputes shall be subject to the jurisdiction of appropriate courts as per applicable law.
